The Corporate Transparency Act (CTA) and its Beneficial Ownership Information (BOI) reporting requirements have been a hot topic for businesses nationwide. This week, a Texas federal court issued a nationwide injunction, temporarily halting the enforcement of these requirements. This decision has provided a moment of relief for many small business owners concerned about the burden of compliance.

What Happened?

The Corporate Transparency Act requires many businesses to report information about their beneficial owners to the federal government. However:

  1. A Texas federal court issued an injunction: The enforcement of these requirements is now on hold nationwide.
  2. Small business concerns were central: The court highlighted the significant compliance costs and challenges, especially for smaller businesses.

What this Means for you

While this litigation is ongoing, FinCEN will comply with the order issued by the U.S. District Court for the Eastern District of Texas for as long as it remains in effect. Therefore, reporting companies are not currently required to file their beneficial ownership information with FinCEN and will not be subject to liability if they fail to do so while the preliminary injunction remains in effect. Nevertheless, reporting companies may continue to voluntarily submit beneficial ownership information reports.

  1. No immediate action is required: You are not required to file BOI reports at this time.
  2. Stay prepared: Depending on the court’s final decision, future compliance may still be necessary.
